Terms of Service

1. The Service

GridPay helps Texas homeowners connect authorized home-energy equipment and meter data, see usage and exports, join programs such as demand response where available, manage a thermostat or battery schedule you enable, compare or enroll in retail electricity plans through a partner, pay for optional subscriptions, and receive utility rewards such as GridPay Token (GPT) when program rules are met.

The Service depends on third parties, including Smart Meter Texas, device makers (such as Tesla, Google Nest, SolarEdge, and Enphase), Stripe, Clerk, and retail-enrollment partners. Those parties can change or withhold data. Features may be unavailable for a premises, a device, or a retail plan.

2. Eligibility

You must be at least 18 years old and able to form a contract. You must have authority to connect each electric meter, battery, inverter, thermostat, and premises you add. If a system is leased, financed, or under a power purchase agreement, you are responsible for complying with that contract. Misrepresenting ownership or authority is a material breach, and we may suspend the account.

Smart Meter Texas features apply to Texas premises that Smart Meter Texas can serve. Other features may be offered only where we say they are available.

3. Accounts

You register through Clerk (email, Google, or another method we offer). You must provide accurate information and keep it current. You are responsible for activity under your account and for protecting your email and sign-in methods. Tell us at founder@gridpay.com if you believe your account is compromised. We may refuse, reclaim, or suspend an account that is duplicate, misleading, or used in breach of these Terms.

4. Device authorization and remote control

Connecting a meter or device is your authorization for GridPay to retrieve the data described in the Privacy Policy and, where the product offers control and you enable it, to send remote commands to that device.

• Smart Meter Texas. You authorize us to request interval consumption and export data for the ESIID you enroll. We do not switch your retail provider solely because a meter is connected.
• Google Nest. You authorize the Google Smart Device Management scope so we can read thermostat traits (ambient temperature, humidity, mode, HVAC status, heat and cool setpoints, eco settings, fan, connectivity, and device name) and, when you enable control, send commands that change mode, heat setpoint, cool setpoint, heat-cool range, eco mode, or fan timer. We do this for energy scheduling and programs you join. Nest data is not sold and is not used for advertising. GridPay's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. • Tesla Powerwall and other batteries, and inverters such as SolarEdge and Enphase. You authorize the telemetry those APIs provide. If you enable optimization, grid events, or dispatch, you authorize commands that can change backup reserve, charge, or discharge behavior, within the limits the manufacturer and the product expose.

Limits. Remote commands can change comfort, backup energy available in an outage, and how often equipment cycles. A device may ignore a command, be offline, or be restricted by the manufacturer, your utility, or a lease or power-purchase agreement. GridPay does not promise that a command will be accepted, that a schedule will run on time, or that a third party will keep an API available. You can disconnect a device in GridPay at any time and revoke the manufacturer’s authorization (for Nest, remove GridPay in your Google Account permissions). Disconnecting stops new commands and new collection from that connection.

You represent that you have the right to grant these authorizations and that doing so does not violate an agreement with a utility, retail provider, installer, lender, or device maker.

5. No guarantee of savings or earnings

GridPay does not guarantee energy savings, a lower bill, bill credits, enrollment in any grid program, a particular GPT amount, or any payout amount or date. Calculators, previews, and examples are illustrations. Results depend on your equipment, weather, retail plan, ERCOT prices, meter-data availability, device uptime, and third parties. Past or sample results are not a promise of future results.

GPT, where awarded, is a utility reward recorded against verified activity under the rules shown in the product. The emission rate can change on the schedule we publish. A displayed reference value is not cash, not a deposit, not interest, and not an offer of a security. GridPay does not provide investment, tax, or legal advice. Token value can fall to zero. On-chain records are public and permanent.

6. Subscriptions and billing

Some features require a paid subscription billed by Stripe. Published monthly prices as of the date above are Pro at $9.99, Earner at $29.99, and Elite at $99.99. The price, taxes, and renewal terms shown at checkout control if they differ. Subscriptions renew until you cancel. You can cancel in the product or by emailing founder@gridpay.com. Cancellation stops future renewal charges. Except where the law requires a refund, fees already paid are not refunded, and we do not prorate a partial period. If a payment fails, we may suspend paid features. We may change prices or plans by posting the change or notifying you before the next renewal; if you do not agree, cancel before that renewal.

Retail electricity enrollment, if you choose it, is a separate transaction with the retail provider and with PowerHQ / EnergyBot. Your electric bill remains your responsibility. GridPay may receive a referral fee from that partner. That fee does not change the price the provider quotes you unless the quote says otherwise.

7. Third-party services

The Service interoperates with third parties, including Clerk, Stripe, Smart Meter Texas, Tesla, Google, SolarEdge, Enphase, PostHog, Sentry, ZeroDev, Arbitrum, and PowerHQ / EnergyBot. Their terms and privacy policies govern their systems. We are not responsible for their outages, data errors, rejected authorizations, or changes to their APIs. A link to a third party is not an endorsement.

8. Acceptable use

You will not:

• Connect a meter, account, or device you are not authorized to use.
• Interfere with the Service, probe it without permission, overload it, or bypass access controls.
• Use the Service to violate law, including ERCOT, utility, or retail-provider rules, or to submit false usage or ownership information.
• Reverse engineer the Service except to the extent the law prohibits that restriction.
• Upload malware or use the Service to harm another person or a minor.
• Scrape the Service in a way that degrades it, or resell access without our written permission.

We may investigate and suspend or terminate access for a breach or for risk to customers, devices, or the grid programs we participate in.

9. Intellectual property

GridPay and its licensors own the Service, software, text, graphics, and the GridPay name and logos. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your household or internal business use, in line with these Terms. You keep ownership of the energy data and content you submit. You grant GridPay a license to host, process, and display that data solely to operate, secure, and improve the Service and to perform the device actions you authorize. If you send feedback, we may use it without obligation to you. Tesla, Nest, Google, SolarEdge, Enphase, and other names are trademarks of their owners. GridPay is not endorsed by them.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GRIDPAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT A DEVICE OR METER WILL RESPOND, OR THAT YOU WILL SAVE ENERGY OR RECEIVE ANY PAYMENT. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY TEXAS LAW, GRIDPAY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, SAVINGS, DATA, GOODWILL, OR TOKEN VALUE, WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID GRIDPAY IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100). These limits apply to any theory of liability. They do not limit liability that cannot be limited under applicable law, including liability for our fraud or willful misconduct.

12. Indemnity

You will indemnify, defend, and hold harmless GridPay and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, information you submit, your connection of a meter or device without authority, your breach of these Terms, or your violation of a utility, retail-provider, lease, lender, or device-manufacturer agreement.

13. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Subject to any non-waivable consumer right, the state and federal courts located in Texas have exclusive jurisdiction, and you consent to personal jurisdiction and venue there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. Termination

You may stop using the Service at any time and may request deletion as described in the Privacy Policy (email founder@gridpay.com). We may suspend or terminate the Service or your account if you breach these Terms, if we must do so to comply with law, or if a third-party integration required for the Service ends. Sections that by their nature should survive, including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and this survival clause, survive termination.

15. Changes

We may update these Terms by posting a new version on this page and changing the "Last updated" date. If a change is material, we will provide additional notice, such as email or an in-product message, when it is reasonable to do so. If you keep using the Service after the update takes effect, you accept the new Terms. If you do not agree, stop using the Service and cancel any paid plan.

16. Other terms

These Terms, together with the Privacy Policy and any order or plan you accept at checkout, are the entire agreement between you and GridPay for the Service. If a court holds a provision unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a merger, financing, or sale of assets, or to an affiliate. Headings are for convenience only. These Terms are written in English.
